Terms of Use

1. Who We Are

PINRICK ("we," "us," "our") is a Kenya-based technology and digital solutions provider. These Terms are governed by the laws of the Republic of Kenya, including the Law of Contract Act (Cap. 23), as referenced in Section 12.

2. Definitions

• "Client" means any person or organization that engages us for a project or service.
• "Deliverables" means the website, application, system, or other output we agree to build for a Client under a specific engagement.
• "Engagement" means a specific project agreed between a Client and PINRICK, whether confirmed by email, WhatsApp, invoice, or written agreement.
• "Personal Data" has the meaning given under Kenya's Data Protection Act, No. 24 of 2019.

3. Using This Website

You must be at least 18 years old to submit the Contact form or engage us for a paid Service. You agree to provide accurate information when contacting us, and not to use this website to submit unlawful, abusive, or fraudulent content.

4. Our Services

We offer the following categories of Service, described in more detail on our Services page:

• Website Development, Mobile App Development, and USSD Development
• Cyber Security (vulnerability assessments, penetration testing, hardening)
• Automation Tools and API Integration
• Business Solutions such as POS, eVoting, ePayment, and eTicket systems built for a Client's own use
• Digital Marketing (Bulk SMS, Email Marketing, SEO, Ads)

The exact scope, timeline, deliverables, and price for a specific Engagement will be agreed separately (by quote, invoice, or written agreement) before work begins. Where anything in that agreement conflicts with these general Terms, the specific agreement takes priority for that Engagement.

5. Payments & Refunds

Paid Engagements typically require a deposit before work begins, with the balance due on agreed milestones or completion. Refund eligibility is governed by our Refund Policy, which forms part of these Terms.

6. Intellectual Property & Deliverables

The PINRICK name, logo, and website design are our property and may not be copied or reused without our written consent.

For paid Engagements, ownership of the final Deliverables transfers to the Client upon full payment, unless the signed agreement for that Engagement states otherwise. Any third-party components used in a Deliverable (such as licensed plugins, fonts, or frameworks) remain subject to their own licence terms. We may, unless a Client requests otherwise in writing, reference completed projects in our portfolio for promotional purposes without disclosing confidential business information.

7. Prohibited Conduct

You agree not to:

• Use this website or our Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems, admin panel, or any system we build for a Client
• Misrepresent your identity or the purpose of a project when requesting a quote
• Use Deliverables we build (such as a bulk SMS or email system) to send unsolicited or unlawful communications

Unauthorized access to, or interference with, a computer system is an offence under Kenya's Computer Misuse and Cybercrimes Act, No. 5 of 2018, and may be reported to the relevant authorities.

8. Data Protection

Our collection and use of your personal information is described in our Privacy Policy, incorporated into these Terms by reference, and is handled in accordance with Kenya's Data Protection Act, No. 24 of 2019.

9. Disclaimers & Limitation of Liability

This website and our Services are provided on an "as is" and "as available" basis. While we take reasonable care in the systems we build, we do not warrant that any website, app, or system will be completely error-free or uninterrupted. To the fullest extent permitted by law, our total liability arising from an Engagement will not exceed the total fees paid by the Client for that specific Engagement. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud.

10. Third-Party Systems

Where a Deliverable integrates with third-party services — such as payment gateways, mobile network USSD/SMS gateways, or cloud hosting providers — the Client's use of those third-party services is also governed by that provider's own terms, which we are not responsible for.

11. Termination

Either party may end an Engagement in accordance with the terms agreed for that specific project. Ending an Engagement does not relieve a Client of payment owed for work already completed up to that point.

12. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya. If a dispute arises, both parties agree to first attempt to resolve it through good-faith negotiation. Where a dispute cannot be resolved within thirty (30) days, either party may pursue resolution through arbitration under the Arbitration Act, No. 4 of 1995, or before the courts of Kenya.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they were last revised. Continued use of this website after a change takes effect means you accept the revised Terms.
